These Terms and Conditions (the “Agreement”) constitute a legally binding agreement between you (“you” or “User”) and CRYSTAL STAR CO., LTD. (“we,” “us,” or “CRYSTAL STAR”), governing your access to and use of the website bosonmedia.click (the “Site”) and any related services, features, content, or applications (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by this Agreement in full. If you do not agree, you must immediately cease using the Site and Services.

  2. Pricing. Fees and charges are as specified on the Site or in applicable Orders. All fees are in Thai Baht (THB) unless otherwise stated.
  3. Payment. Unless stated otherwise, payments are due Net 30 days from invoice date. Late payments incur interest at 1.5% per month.
  4. Taxes. You are responsible for all taxes related to your purchase of Services, excluding taxes based on our income.

6. Intellectual Property Rights
  1. Ownership. CRYSTAL STAR or its licensors retain all rights, title, and interest in the Content, Services, trademarks, logos, and other intellectual property.
  2. License. We grant you a limited, revocable, non-exclusive license to access and use the Site and Services for the purposes authorized by this Agreement.
  3. Restrictions. You may not copy, modify, distribute, sell, lease, sublicense, or reverse engineer any portion of the Site or Services.

7. User-Generated Content
  1. By submitting any content (comments, reviews, uploads), you grant CRYSTAL STAR a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and display such content.
  2. You represent and warrant that you own or have the necessary rights to grant this license and that content does not infringe any third-party rights.
  3. We may remove or disable any content that violates these Terms or is otherwise objectionable, without notice.

8. Privacy and Data Protection
  1. Use of personal data is governed by our Privacy Policy, incorporated herein by reference.
  2. You consent to the collection, use, and transfer of your data in accordance with that policy.

9. Confidentiality
  1. Each party agrees to maintain in confidence all Confidential Information disclosed by the other party.
  2. Confidential Information excludes information that is publicly known, independently developed, or rightfully received from a third party.
  3. This obligation survives termination of this Agreement for three (3) years.

10. Disclaimers
  1. THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED.
  2. TO THE FULLEST EXTENT PERMITTED BY LAW, CRYSTAL STAR DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability
  1. NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR REVENUE.
  2. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SITE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12. Indemnification
You agree to indemnify, defend, and hold harmless CRYSTAL STAR and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your breach of these Terms, violation of law, or infringement of third-party rights.

13. Term and Termination
  1. Term. This Agreement remains in effect until terminated by either party.
  2. Termination for Cause. Either party may terminate if the other materially breaches and fails to cure within thirty (30) days of notice.
  3. Effects of Termination. Upon termination, all rights granted to you will cease, and you must cease using the Site and Services.

14. Force Majeure
Neither party shall be liable for delays or failures due to causes beyond its reasonable control, including natural disasters, war, strikes, or government actions.

15. Assignment
You may not assign or transfer this Agreement without our prior written consent. CRYSTAL STAR may assign or transfer this Agreement in connection with a merger or sale of assets.

16. Third-Party Websites and Services
The Site may contain links to third-party websites or integrations. We are not responsible for their content, practices, or policies. Your use of any third-party site is at your own risk.

17. Notifications and Updates
  1. We may send you notifications via email or Site banners regarding updates, changes, or other important information.
  2. You agree to receive these communications as part of this Agreement.

18. Governing Law and Dispute Resolution
  1. This Agreement is governed by the laws of Thailand, excluding its conflict-of-law rules.
  2. All disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

19. Severability
If any provision is held invalid, the remainder of this Agreement remains in full force and effect.

20. Entire Agreement
This Agreement, together with the Privacy Policy and any other documents referenced herein, constitutes the entire agreement between you and CRYSTAL STAR regarding the Site and Services, superseding all prior agreements.
